Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Pulse Group LLC, a Florida limited liability company ("Pulse," "we," "us," or "our"), governing your access to and use of our website, services, and any related materials (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

2. Services

Pulse provides networking-as-a-service, including independent consultant deployment, pre-event planning, post-event follow-up, relationship tracking, monthly lead review meetings, and AI-assisted lead generation. Specific deliverables, timelines, and fees are set forth in a mutually executed statement of work or order form.

3. Fees and Payment

Client agrees to pay all fees specified in the applicable order form. Unless otherwise stated, invoices are due net thirty (30) days from the invoice date. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. All fees are non-refundable except as expressly set forth herein.

4. Client Responsibilities

You agree to provide accurate information, timely feedback, and reasonable cooperation necessary for Pulse to deliver the Services. You are solely responsible for compliance with all laws applicable to your business, including anti-spam, privacy, and data protection regulations.

5. Intellectual Property

Pulse retains all right, title, and interest in and to its methodologies, software, AI models, templates, and pre-existing materials. Subject to full payment, Pulse grants Client a limited, non-exclusive, non-transferable license to use deliverables solely for Client's internal business purposes.

6. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and in no event less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party.

7. Independent Contractor Status

Pulse and its consultants are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PULSE DOES NOT GUARANTEE ANY SPECIFIC BUSINESS OUTCOME, REVENUE, OR NUMBER OF LEADS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY CLIENT TO PULSE IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

Client agrees to indemnify, defend, and hold harmless Pulse and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Client's breach of these Terms, misuse of the Services, or violation of applicable law.

11. Term and Termination

These Terms remain in effect for the duration of any active order form. Either party may terminate for material breach if the other party fails to cure within thirty (30) days of written notice. Sections that by their nature should survive termination shall survive.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Miami-Dade County, Florida.

13. Changes to Terms

Pulse may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.
